Refund Policy

1. Scope

This Refund Policy applies to all services provided by VertexBridgeDynamics, including but not limited to SaaS platform development, API gateway engineering, cloud infrastructure orchestration, analytics dashboard construction, CI/CD pipeline automation, security hardening, performance optimization, and custom plugin development.

2. Milestone-Based Reimbursement

All projects are structured around clearly defined milestones. Reimbursement requests are evaluated based on the completion status of each milestone:

  • Pre-Start Cancellation: If you cancel before any work has commenced, you are entitled to a full reimbursement of any advance payments made, minus any administrative processing fees.
  • In-Progress Cancellation: If you cancel after work has begun, reimbursement will be calculated proportionally based on the milestones completed at the time of cancellation. Completed and approved milestones are non-reimbursable.
  • Post-Delivery: Reimbursement requests submitted after final delivery and acceptance of the project will be reviewed on a case-by-case basis within 14 business days of the request.

3. Reimbursement Process

To request a reimbursement, send an email to [email protected] with your project reference number, a detailed description of the reason for the request, and supporting documentation. We will acknowledge your request within 3 business days and provide a resolution within 14 business days.

4. Non-Reimbursable Items

The following are not eligible for reimbursement:

  • Third-party license fees or subscriptions already purchased on your behalf.
  • Completed milestones that have been formally approved and signed off.
  • Services rendered under a fixed-scope agreement where all deliverables have been met.

5. Dispute Resolution

In the event of a disagreement regarding reimbursement, both parties agree to attempt resolution through good-faith negotiation. If no resolution is reached within 30 days, either party may escalate the matter to mediation in Madrid, España, in accordance with applicable Spanish law.

Terms of Service

1. Acceptance of Terms

By accessing or using the services provided by VertexBridgeDynamics ("we", "us", "our"), you ("Client", "you") agree to be bound by these Terms of Service. If you do not agree with any part of these terms, you must not use our services.

2. Scope of Services

VertexBridgeDynamics provides web agency services including, but not limited to, multi-tenant SaaS platform development, API gateway engineering, cloud infrastructure orchestration, real-time analytics dashboard construction, CI/CD pipeline automation, enterprise security hardening, performance optimization, and custom plugin development. The specific scope of each engagement is defined in the corresponding project proposal or statement of work.

3. Client Obligations

The Client agrees to:

  • Provide timely access to all required resources, credentials, and documentation.
  • Respond to deliverable review requests within 5 business days.
  • Designate a single point of contact for project communications.
  • Ensure that all provided materials do not infringe upon third-party intellectual property rights.

4. Payment Terms

Payment terms are specified in each project proposal. Unless otherwise agreed in writing:

  • A 40% advance payment is required before work commences.
  • Remaining payments are due upon milestone completion as defined in the project schedule.
  • Late payments incur a 1.5% monthly interest charge after a 10-day grace period.
  • All prices are exclusive of applicable taxes unless stated otherwise.

5. Intellectual Property

Upon full payment, all deliverables and associated intellectual property rights are transferred to the Client. VertexBridgeDynamics retains the right to display anonymized case studies and portfolio entries unless explicitly prohibited in the project agreement. Pre-existing frameworks, libraries, and tools used in development remain the property of VertexBridgeDynamics, with a perpetual, irrevocable license granted to the Client for use within the delivered project.

6. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information exchanged during the course of the engagement. This obligation survives the termination of the agreement for a period of 3 years.

7. Limitation of Liability

VertexBridgeDynamics shall not be liable for any indirect, incidental, special, consequential, or punitive damages. Our total liability for any claim arising from or related to our services shall not exceed the total amount paid by the Client for the specific service giving rise to the claim.

8. Termination

Either party may terminate the agreement with 15 days' written notice. Upon termination, the Client is responsible for payment of all work completed up to the date of termination. All deliverables completed and accepted prior to termination remain the property of the Client.

9. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of España. Any disputes arising from or relating to these terms shall be subject to the exclusive jurisdiction of the courts of Madrid, España.

10. Amendments

VertexBridgeDynamics reserves the right to modify these Terms of Service at any time. Changes will be effective upon posting to the website. Continued use of our services after changes constitutes acceptance of the updated terms.
